By accessing or using Flowdevz, purchasing templates, or subscribing to a plan, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use our services.

1) Definitions

• Services: The Flowdevz website, dashboard, checkout, downloads, license activation, updates, and support.
• Templates/Assets: Digital files (e.g., Webflow/Framer projects, WordPress themes/plugins, UI kits, components, demos, images, documentation).
• Subscription: Paid access (e.g., Yearly or Lifetime) that may include current and future templates per plan.
• Account Owner/Customer/You: The person or legal entity using/purchasing the Services.

2) Eligibility & Account

• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.
• You are responsible for your account credentials, activity, and keeping information accurate and up to date.
• We may refuse, suspend, or terminate accounts for breach of these Terms or misuse.

3) Plans, Pricing & Billing

• Prices, plan features, and promotions may change from time to time. Current pricing is shown at checkout before payment.
• Subscriptions (Yearly): Auto-renew unless canceled before the renewal date. You can cancel anytime; access continues until the end of the current period.
• Lifetime Access (if offered): A one-time fee provides access to the included benefits for the lifetime of the product line, subject to reasonable availability of our Services and continued business operations.
• Taxes: Prices may exclude taxes/VAT. You are responsible for all applicable taxes.
• Payment Processing: Handled by third-party processors. We don’t store full card details.

4) Delivery & Fulfillment

• After purchase, downloads and licenses are delivered via your Flowdevz Dashboard and/or fulfillment links.
• You are responsible for downloading and securely storing your assets and license keys.

5) License & Permitted Use

Unless otherwise stated at checkout or in the item’s license file, your purchase grants a non-exclusive, non-transferable license to use the Templates/Assets:

• For one (1) end product/website per license, unless your plan or license explicitly permits multiple projects or seats.
• You may modify the Templates/Assets for your own or your client’s end product.
• You must not resell, sublicense, distribute, share, or make the source assets available “as-is” or in competing libraries/marketplaces.
• You must not claim the Templates/Assets as your own creation or use them to train or seed a competing template or asset product.
• Any third-party content (fonts, photos, icons, libraries) included is subject to its own license; ensure you have proper rights before use in production.

If an item specifies a different license (e.g., marketplace-specific terms), that item-specific license controls.

6) Usage Restrictions

You agree not to:

• Circumvent licensing, rate limits, access controls, or paywalls.
• Reverse engineer or attempt to extract private repositories/locked files.
• Use the Services for unlawful, harmful, or deceptive purposes (including malware, phishing, or spam).
• Infringe third-party rights or violate applicable platform/marketplace rules (e.g., Webflow, Framer, WordPress.org).

7) Updates & Support

• Updates: Provided as available and may include bug fixes, improvements, or compatibility changes. We may discontinue legacy versions when reasonably necessary.
• Support: Offered for active subscriptions or per-item support windows (as stated on product pages). Support covers item installation, basic configuration, and bug reports; it does not include custom development, on-site work, or unrelated third-party issues.

8) Refunds & Cancellations

Because our products are digital goods, all sales are generally final once access is granted. However:

• We may consider a good-faith refund within 7 days if (a) the item is objectively defective, (b) you reported the issue and cooperated with support, and (c) we are unable to provide a reasonable fix or alternative within a reasonable timeframe.
• Change of mind, suitability for a specific project, or inability to use due to third-party hosting/setup issues are not valid reasons for refunds.
• Chargebacks for valid deliveries may result in license revocation and account suspension.

Your statutory rights (if any) remain unaffected where required by law.

9) Third-Party Services

Our Services may link to, integrate with, or rely on third-party tools (e.g., hosting, payment processors, analytics, email, marketplace features). We are not responsible for third-party terms, policies, outages, or updates. Your use of third-party services is at your own risk and subject to their terms.

10) Intellectual Property

• Flowdevz and/or its licensors retain all rights, title, and interest in the Services and Templates/Assets not expressly granted to you.
• Trademarks/Branding: Flowdevz, Teconce, and related marks are trademarks of Teconce LLC. You may not use them without permission.

11) Privacy

Your use of the Services is also governed by our Privacy Policy. Please review it to understand how we collect and process personal data.

12) Disclaimers

• “As Is”: The Services and Templates/Assets are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• We do not guarantee uninterrupted or error-free operation, specific results, or compatibility with every platform, device, or third-party update.

13) Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, business interruption, or procurement of substitute goods/services.
• Our total liability for any claim relating to the Services or Templates/Assets shall not exceed the amount you paid to us for the item or subscription in the 12 months preceding the claim.

Some jurisdictions do not allow certain limitations; in those cases, the limitation applies to the fullest extent permitted.

14) Indemnification

You agree to defend, indemnify, and hold harmless Teconce LLC (Flowdevz), its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.

15) Suspension & Termination

We may suspend or terminate access (and/or revoke licenses) if you breach these Terms, misuse the Services, or engage in fraud/abuse. Upon termination, your right to access the Services ceases immediately; certain sections (e.g., IP, disclaimers, limitations, indemnity, governing law) survive termination.

16) Changes to the Services or Terms

We may update the Services or these Terms from time to time (e.g., to reflect feature changes or legal requirements). If changes are material, we will provide reasonable notice (e.g., banner, email). Continued use after the effective date constitutes acceptance of the updated Terms.

17) Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules.
• Good-Faith Resolution: Contact us first to attempt a friendly resolution within 30 days.
• Arbitration (Optional Clause): Any dispute not resolved informally shall be finally settled by binding arbitration in Wyoming, USA, under the rules of a recognized arbitration body. You and we waive the right to a jury trial and to participate in a class action.
• If you are a consumer with mandatory local rights, you may be entitled to bring claims in your home jurisdiction.

(If you prefer not to use arbitration, remove the arbitration paragraph above and specify courts in Sheridan, Wyoming.)

18) Notices

We may send legal or service notices to the email on your account or via in-app/dashboard notifications. You are responsible for keeping your email current.
